Our Industry Group dedicated to Startups and Venture Capital, led by lawyer Gianpaolo Todisco, holder of an LL.M. from Santa Clara University School of Law (California, Silicon Valley), provides strategic and tailored legal advice to entrepreneurs, investors, and innovative startups.

We support founders from the early stages of their entrepreneurial venture, handling:

• legal feasibility assessment of the project, with a focus on corporate, regulatory, and intellectual property (IP) aspects;

• choice of corporate vehicle, drafting of articles of association, and preparation of shareholders' agreements and corporate governance rules;

• protection of the intellectual property of the startup, including trademarks, software, inventions, designs, processes, and know-how;

• drafting and negotiation of term sheets, investment agreements, and NDAs (non-disclosure agreements);

• comprehensive assistance in seed capital and venture capital transactions, through to the closing of financing rounds.

We also advise on strategies to protect founders when new investors come on board, including non-competition agreements, exit clauses, voting rights, preferential liquidation, and flexible but protective governance structures.
